This Content Submission and License Agreement (“Agreement”) is entered into by and
between Victory Media Marketing LLC (“Company,” “we,” or “us”) and you (“User”)
“You” or “Submitter”) when you submit content through our websites.

1. Submitted content
   “Submitted Content” means all news tips, text, descriptions, images, photos, etc.
   Videos, audio files, recordings or other materials that you upload, submit or provide to us
   via the news tip forms on DailyTrib.com, KBEYfm.com, 101highlandlakes.com or another
   other websites owned or operated by Victory Media Marketing LLC.
2. License Grant
   By submitting Submitted Content, you hereby grant Company a worldwide, non-
   exclusive, perpetual, irrevocable, royalty-free, fully sublicensable and transferable
   License to use, reproduce, modify, adapt, publish, translate and create derivative works
   collect, distribute, perform, display or otherwise exploit the submitted content in any form
   Form or medium (now known or later developed), including but not limited to:

• Published on DailyTrib.com, KBEYfm.com, 101highlandlakes.com and other outlets
  Websites, apps, newsletters and social media platforms (such as Facebook, Instagram,
  X, YouTube, etc.).
• Edit, format, or combine with other content for news, advertising, archiving, or
  commercial purposes.
• Enabling use by third parties (e.g. affiliates, syndication partners).
  Conditions.
  You retain copyright in your Submitted Content, subject to the License
  granted above.

1. User Representations and Warranties
   You represent and warrant that:

• You are at least 18 years old and have full right and authority to grant the Rights
  this agreement.
• The submitted content is your original work or you have received all required information
  Permissions, Consents and Releases (including from people appearing on
  Photos/videos or owners of third party materials).
• The submitted content does not infringe any intellectual property rights of third parties.
  Violate personal rights or publicity rights or defame another person.
• It complies with all applicable laws and does not contain viruses, malware, etc
  prohibited content.
• You will not submit any false, misleading or confidential information.

1. No compensation
   You understand and agree that you will not receive any compensation for Submission or Submission
   Use of your Submitted Content.
2. Compensation
   You agree to indemnify, defend and hold harmless the Company, its affiliates, officers.
   Directors, employees and agents from any claims, damages, liabilities, losses etc
   Costs (including reasonable legal fees) arising from your breach of these Terms
   Agreement or any third party claims related to your Submitted Content.
3. Moral rights and publicity
   In this respect, you waive any moral rights or copyrights to the submitted content
   legally permissible. Company may use your name, username or likeness in connection
   if necessary with the transmitted content.
4. Termination and Removal
   The Company may, in its sole discretion, edit, refuse to post or remove any Submissions submitted
   Content at any time without notice. This Agreement survives any termination.
5. Applicable Law
   This Agreement shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions
   the principles of law. Any disputes will be resolved exclusively before the competent courts
   Burnet County, Texas.
6. Entire agreement
   This Agreement constitutes the entire agreement between the parties
   replaces all previous agreements. Changes must be made in writing.
   By submitting content, you confirm that you have read, understood and agreed to it
   be bound by this agreement.
